Use of Service

CTMS provides a platform to manage subscriptions, orders, routing and payments for meal-delivery vendors. You agree to use the Service in compliance with all applicable laws and not to misuse or interfere with it.

Accounts

When you create an account you must provide accurate information. You are responsible for activity on your account and for keeping credentials secure.

Payments

Payment processing is handled by third-party providers. We store only necessary billing metadata and tokens; the provider's terms will apply to payment processing.

Limitations

To the extent permitted by law, CTMS is not liable for indirect or consequential damages arising from use of the Service. For more details see our Limitation of Liability section in the Privacy Policy.

Breach Response & Notification

In the event of an actual or reasonably suspected security incident affecting personal data (a "Security Incident"), CTMS will promptly investigate, contain, and remediate the incident. Our response will include:

  • Immediate steps to contain and mitigate further unauthorized access.
  • Forensic investigation to determine scope, impact, and root cause.
  • Notification to affected individuals and regulators when required by applicable law, with details of the incident and remediation steps.
  • Remediation to prevent recurrence and restore system integrity.

Security Limitations, Remedies & Allocation of Risk

While CTMS employs reasonable, industry-standard security measures, no system can be perfectly secure. Accordingly:

  • CTMS does not guarantee that its security measures will prevent every unauthorized access, disclosure, or loss.
  • Exclusive remedies for Security Incidents are those expressly set forth in these Terms and any governing agreement.
  • CTMS's liability for claims arising from a Security Incident is subject to the limitations and caps set forth in our Limitation of Liability.

Cooperation & Customer Responsibilities

Customers and users must promptly report suspected Security Incidents and cooperate with CTMS's investigation and remediation efforts. Customers are responsible for maintaining reasonable security practices within their accounts (including password hygiene and access controls) and securing any third-party integrations they configure.

Insurance & Mitigation

CTMS maintains commercially reasonable cybersecurity insurance where practicable to help address liabilities arising from security incidents. Insurance does not relieve CTMS or customers of their respective responsibilities to mitigate damages or comply with notification requirements.

No Guarantee; Limitation of Remedies

The Service is provided "as is" and "as available." Except where prohibited by law, CTMS disclaims all warranties, express or implied, and limits liability as provided in these Terms and the Privacy Policy.
